The Vice President, Corporate, Securities and Commercial Law will report to the Chief Legal Officer (CLO), Tarrant Sibley, and will work closely with members of the Finance, Treasury, Investor Relations, Tax and Corporate Compensation departments as well as the Senior Management team and the Board of Directors. The Vice President bears primary responsibility (either directly and/or through their reports) for serving the Company’s legal needs in the areas of (i) public company reporting (including all reporting by the Company and its senior officers and board members to the Securities and Exchange Commission and to NASDAQ); (ii) public company corporate governance, including tracking and implementing board best practices and working with the CLO to support the Board and Board committees; (iii) corporate maintenance and corporate legal matters, including establishment of new corporate entities, maintenance of entities and mergers of entities within the Company, Inc. global structure; (iv) mergers and acquisitions activity involving either the purchase or sale by Company or any of its subsidiaries of assets or businesses; (v) significant corporate deals outside of the M&A context; (vi) equity compensation, including drafting and review of equity plans and all equity grant agreements, and working with the CLO to support executive compensation matters; (vii) treasury and finance, including playing the lead legal role on all debt offerings, share repurchases, and in supporting the treasury organization generally; (viii) supporting the investor relations function; (xi) real estate matters, including significant corporate real estate projects; and (x) general commercial matters in the United States, including support of the IT and Sales organizations. Key Responsibilities: • Manage and support global mergers & acquisitions work • Working with corporate finance play a key role in all public company reporting, including preparation and review of filings with the SEC (10-K’s, 10-Q’s, proxy statements, 8-K’s, etc.) and with The NASDAQ Global Select Market • Oversee public company corporate governance matters and issues, and support the Company Board of Directors and Board Committees • Play a primary legal role on major strategic deals • Manage general commercial matters, including real estate projects • Play the lead legal role on debt offerings, share repurchases and other projects driven by the Treasury Department, and provide general support for the Treasury Department • Oversee equity plan matters, including drafting and administration of the equity grants, and support of the executive compensation programs • Support the investor relations function, including by providing key support on investor disclosures, including preparation of earnings releases and conference calls In addition to the responsibilities outlined above, it is anticipated that the successful candidate will be responsible for: • Managing a Senior Attorney, Commercial, a Senior Corporate and Securities Paralegal and an Assistant • Advising and assisting on major transactions, public company governance matters and public reporting • Assisting on major financing deals, like debt offerings or bank deals, and support day to day treasury projects • Assisting with preparing disclosures and presentations and in dealing with disclosure issues that arise • Assisting on executive compensation and equity compensation matters, and play the lead role in preparing the proxy statement Qualifications The candidate will need to manage complex matters and situations directly with senior management and the Board of Directors, including in the areas of M&A, finance, corporate governance, and executive compensation. A minimum of 12 years practicing in these areas is required. The candidate needs to be able to provide practical, business-oriented advice on high profile transactions and sensitive issues to senior management under time pressure and have the confidence to be a key member of teams that will include senior executives within the company. Preferred Skills A law degree and a minimum of 15 years practicing in the areas of M&A, finance, corporate governance, and executive compensation.
